Responsibilities
- Lead complex due diligence processes for high-value M&A and private equity transactions.
- Draft and negotiate sophisticated transaction documents, including purchase agreements and joint venture contracts.
- Manage transaction closings and coordinate with multi-disciplinary teams across international borders.
- Provide strategic legal counsel to C-suite executives and Board members regarding corporate governance and risk mitigation.
- Supervise and mentor junior associates to ensure the highest standards of legal accuracy and efficiency.
- Liaise with regulatory bodies to ensure compliance with SEC and international antitrust requirements.
Qualifications
- Juris Doctor (JD) degree from a top-tier accredited law school.
- Admission to the New York State Bar in good standing.
- 5-8 years of post-qualification experience in a reputable corporate/M&A practice.
- Demonstrated expertise in drafting complex legal instruments and transaction structure.
- Exceptional analytical, communication, and interpersonal skills.
- Proven ability to manage high-pressure environments and tight closing deadlines.
- Experience with cross-border transactions and international regulatory frameworks is highly preferred.
