Responsibilities
- Draft and negotiate complex transactional documents, including purchase agreements and ancillary documents.
- Manage end-to-end deal processes for M&A, private equity, and joint venture transactions.
- Conduct deep-dive legal due diligence and prepare comprehensive analysis reports.
- Supervise and mentor junior associates, ensuring the highest standards of work product.
- Coordinate with tax, intellectual property, and labor departments to provide seamless client service.
- Maintain direct communication with clients and opposing counsel to drive negotiations to closure.
Qualifications
- Juris Doctor (JD) degree from an ABA-accredited law school with excellent academic credentials.
- Admission to the New York State Bar in good standing.
- 5-8 years of experience in corporate law at an AmLaw 100 firm.
- Exceptional drafting, analytical, and problem-solving skills.
- Proven ability to manage multiple high-priority projects under strict deadlines.
- Strong interpersonal skills with the ability to build and maintain long-term client relationships.
- Professional fluency in complex corporate structures and regulatory frameworks.
