Responsibilities

- Draft and negotiate sophisticated commercial agreements, shareholder documents, and governance materials.
- Provide strategic legal counsel to C-suite executives and board members regarding risk mitigation.
- Coordinate multi-disciplinary teams, including tax, employment, and intellectual property specialists.
- Manage the due diligence process and oversee closing deliverables for high-value acquisitions.
- Mentor junior associates and provide structured guidance to the broader legal department.
- Ensure full compliance with regulatory requirements across domestic and international jurisdictions.
Qualifications
- Juris Doctor (JD) degree from an ABA-accredited top-tier law school.
- Current member in good standing with the New York State Bar.
- 5-8 years of post-qualification experience in a major corporate law firm.
- Expertise in drafting complex legal instruments and managing closing mechanics.
- Proven track record of managing high-pressure transactions with precision.
