Responsibilities
- Lead and manage complex M&A transactions and corporate restructuring projects.
- Draft and negotiate sophisticated purchase agreements, joint venture contracts, and equity documents.
- Direct legal due diligence teams and synthesize critical risk assessments for C-suite clients.
- Provide strategic counsel on corporate governance, SEC compliance, and regulatory matters.
- Mentor junior associates and oversee the drafting workflow for transactional teams.
- Interface directly with clients, investment bankers, and opposing counsel to ensure seamless deal execution.
Qualifications
- Juris Doctor (JD) degree from a top-tier law school with an impeccable academic record.
- 5-8 years of experience in corporate/M&A at an AmLaw 50 law firm.
- Current member in good standing with the New York State Bar.
- Expertise in drafting and negotiating complex corporate transactional agreements.
- Proven ability to manage multiple high-priority deals in a fast-paced environment.
- Exceptional analytical, communication, and interpersonal skills.
- Commercial acumen with a proactive approach to solving complex legal problems.
