Responsibilities
- Lead complex domestic and cross-border M&A transactions from due diligence to closing.
- Draft and negotiate purchase agreements, disclosure schedules, and ancillary transaction documents.
- Provide strategic legal counsel to private equity sponsors and corporate boards regarding governance and compliance.
- Mentor and supervise junior associates to ensure high-quality work product and professional development.
- Manage client communication and expectations, ensuring seamless delivery of legal services.
- Collaborate with cross-functional teams including tax, IP, and employment specialists.
- Participate in business development initiatives to help expand the firm’s corporate practice.
Qualifications
- Juris Doctor (JD) degree from a top-tier law school with an excellent academic record.
- 5-8 years of sophisticated corporate experience at a nationally recognized law firm.
- Admitted to the New York State Bar in good standing.
- Proven expertise in drafting complex M&A and private equity transaction documents.
- Exceptional analytical, communication, and interpersonal skills.
