Responsibilities
- Lead complex M&A transactions due diligence and negotiation
- Advise clients on corporate governance best practices
- Develop and implement compliance frameworks for multinational corporations
- Manage regulatory filings and corporate restructuring projects
- Collaborate with cross-border teams on international ventures
- Represent clients in SEC filings and shareholder meetings
- Mentor junior associates on legal strategy execution
Qualifications
- Juris Doctor (JD) from ABA-accredited law school
- 5+ years corporate law experience at top-tier firm
- New York State Bar admission (in good standing)
- Proven M&A transaction track record (>$500M deals)
- Advanced knowledge of SEC regulations and corporate governance
- Exceptional analytical and negotiation skills
- Fluency in Spanish or Mandarin (highly preferred)
