Responsibilities
- Lead complex M&A transactions due diligence and contract negotiations
- Develop corporate governance frameworks for public and private entities
- Advise on SEC compliance, IPO processes, and securities regulations
- Manage litigation strategy and partner with external counsel
- Create risk mitigation protocols for international operations
- Mentor junior associates and paralegal teams
- Drive legal innovation through AI-assisted research tools
Qualifications
- Juris Doctor from ABA-accredited institution (Top 50 preferred)
- New York State Bar membership (in good standing)
- 5+ years corporate law experience at AmLaw 100 firm
- Proven expertise in SEC filings and Dodd-Frank compliance
- Advanced negotiation skills with $500M+ transaction experience
- Fluency in legal research platforms (LexisNexis, Westlaw Edge)
- Admitted to practice in at least two U.S. jurisdictions
