Responsibilities
- Lead due diligence, drafting, and negotiation for M&A transactions valuing $500M+
- Advise clients on SEC filings, IPOs, and ongoing securities compliance
- Develop corporate governance frameworks for multinational corporations
- Manage cross-border transactions with focus on EU and Asian markets
- Mentor junior associates and paralegals on best practices
- Contribute to firm thought leadership through industry publications
Qualifications
- Juris Doctor from ABA-accredited law school with top 25% class ranking
- Admitted to NY State Bar with 3+ years corporate law experience
- Proven track record in high-value M&A or securities transactions
- Expertise in SEC regulations and Sarbanes-Oxley compliance
- Exceptional research, writing, and negotiation skills
- Fluency in Mandarin or Spanish highly valued
- Advanced proficiency in legal research tools (Westlaw, LexisNexis)
