Responsibilities
- Drafting and negotiating a wide range of transactional documents, including merger agreements, stock purchase agreements, asset purchase agreements, and ancillary agreements.
- Conducting comprehensive due diligence investigations and synthesizing findings for clients and senior attorneys.
- Assisting in the structuring and execution of complex M&A transactions, private equity investments, and joint ventures.
- Preparing and reviewing corporate governance documents, board resolutions, and consent forms.
- Managing closing mechanics and post-closing integration matters for various deals.
- Collaborating with clients, opposing counsel, and internal legal teams to facilitate efficient transaction processes.
- Providing strategic legal advice on M&A-related issues, regulatory compliance, and corporate law matters.
- Mentoring junior associates and legal assistants on project-specific tasks and firm best practices.
Qualifications
- Juris Doctor (J.D.) degree from an ABA-accredited law school.
- Active membership in good standing with the New York State Bar.
- 2-5 years of experience practicing M&A law at a leading law firm.
- Demonstrated experience in drafting, negotiating, and closing sophisticated corporate transactions.
- Exceptional analytical, research, and problem-solving skills.
- Strong written and verbal communication abilities, with keen attention to detail.
- Ability to manage multiple projects simultaneously and work effectively under pressure in a fast-paced environment.
- Proven ability to work independently and collaboratively within a team-oriented structure.
