Responsibilities

  • Lead due diligence processes, including comprehensive review and analysis of target company documents and risk assessment, for complex M&A transactions.
  • Draft, review, and skillfully negotiate a wide range of transactional documents, including merger agreements, stock purchase agreements, asset purchase agreements, and various ancillary agreements.
  • Assist senior attorneys and partners in structuring sophisticated M&A deals, identifying key legal issues, and providing strategic, client-focused legal advice.
  • Manage closing mechanics, post-closing adjustments, and facilitate integration efforts for completed transactions.
  • Conduct thorough legal research and analysis on corporate law matters, federal and state securities regulations, and industry-specific compliance issues.
  • Collaborate effectively with cross-functional teams, including financial advisors, accountants, and other legal specialists, to ensure seamless deal execution.
  • Maintain and build strong client relationships, demonstrating exceptional client service and contributing to firm business development initiatives.
  • Provide guidance and mentorship to junior associates and paralegals on M&A best practices and firm procedures.

Qualifications

  • Juris Doctor (J.D.) degree from an accredited top-tier law school.
  • Active membership in good standing with the New York State Bar.
  • 3-5 years of substantial and dedicated experience in Mergers & Acquisitions at a leading law firm.
  • Demonstrated expertise in drafting, negotiating, and closing sophisticated M&A transaction documents.
