The Role
As an Associate Attorney, you will be instrumental in providing legal counsel to our diverse clientele. You will handle matters ranging from routine corporate compliance to intricate mergers and acquisitions. The ideal candidate is a legal professional who thrives in a fast-paced environment and possesses a sharp analytical mind.
Responsibilities
- Manage the full lifecycle of corporate transactions, including due diligence, drafting, and closing.
- Conduct comprehensive legal research and provide written memoranda on complex legal issues.
- Negotiate and review a wide variety of commercial contracts, including NDAs, service agreements, and acquisition documents.
- Communicate effectively with clients to understand their business objectives and provide strategic legal advice.
- Assist partners in the preparation of briefs, motions, and appellate filings.
- Supervise junior associates and paralegals, providing guidance on legal research and drafting tasks.
Qualifications
- Juris Doctor (JD) degree from an ABA-accredited law school.
- Active membership in good standing with the New York State Bar Association.
- 3-5 years of experience practicing corporate law, with a focus on M&A or Securities.
- Strong academic record, preferably graduating from a top-tier law school.
- Exceptional writing and verbal communication skills.
- Demonstrated ability to manage multiple deadlines and prioritize work effectively.
